Terms of Service

These Terms of Service ("Terms") govern your use of Sherpa B and the programs offered through it (including under other program names, such as Agentic Buildcamp), operated by Aggregate Intellect Inc. ("we," "us"), 515 Legget Drive, Suite 800, Ottawa, Ontario, K2K 3G4, Canada. By creating an account or using Sherpa B, you agree to these Terms.
Accounts
You must provide accurate information when creating an account and are responsible for keeping your login credentials secure. You are responsible for activity that occurs under your account.
Program participation
Sherpa B provides access to a cohort-based program, including tasks, mentorship, and progress tracking. Program schedules, content, and format may change between cohorts. Some features (e.g. public profiles, calendar integration) are optional and controlled by you.
Payments, refunds, and transfers
Paid programs are billed either directly through a third-party payment processor, or through Maven, a third-party platform we use for registration and payment. Fees and billing cycles will be presented to you at the time of purchase.
If you registered and paid through Maven, refund eligibility is governed by Maven's own refund policy (including its Satisfaction Guarantee, where applicable) in effect at the time of your purchase, not by this section; see Maven's terms for details.
If you registered and paid directly with us, you may request a full refund any time before the cohort you registered for begins, and a full refund up to the end of that cohort's first week (7 calendar days after the cohort's official start date), by emailing us at the address below. No refunds are available after that point.
Regardless of how you registered, if your circumstances change you may instead transfer your registration to a future cohort, one time only, by request up to the end of the first week of your original cohort. If you registered directly with us, requesting a transfer waives your right to a refund for that registration; a transferred registration is not separately refundable, and the refund window does not reset or carry over to the new cohort. If you registered through Maven, a transfer request is treated as withdrawing any refund request you've made to us, but does not affect any separate refund rights you may have directly against Maven under its own policy.
Acceptable use
You agree not to misuse Sherpa B, including by attempting to access accounts or data that are not yours, disrupting the service, or using it for unlawful purposes.
Public content
If you make your profile public, information you provide (headline, location, social links, demo links) becomes visible to others. You are responsible for what you choose to share publicly. By submitting content to Sherpa B (profile information, reflections, task notes, project links), you grant us a license to host, store, and display that content as needed to operate the service, including showing public profile content to other users when you've opted in.
Eligibility
Sherpa B is intended for users 18 and older, and these Terms may only be accepted by someone 18 or older. We do not serve participants under 18 except under a separate written service agreement, signed by the minor's parent or legal guardian, that expressly permits and governs the minor's access. Absent such an agreement, you may not create an account or use Sherpa B if you are under 18.
No guarantee of outcomes
Sherpa B provides education, mentorship, and tooling; it is not financial, legal, or investment advice, and we do not guarantee any business, revenue, or career outcome from your participation.
Content and intellectual property
Program materials, curriculum, workflows, prompts, templates, and platform software provided through Sherpa B ("Program Materials") are owned by us (or our licensors). What you're paying for is access to the Program Materials and our services, not ownership of the materials themselves.
While you are an active, paying participant, we grant you a license to use the Program Materials to build your own products or services. Anything original that you build using them is yours: you own the IP in your resulting product, code, and business, and you're free to use, sell, and commercialize it without restriction.
This license to the Program Materials themselves is tied to your active participation. Once your paid access ends (for example, the program concludes or your registration is cancelled), you may no longer copy, retain copies of, reuse, or redistribute the Program Materials themselves as standalone materials. This does not require you to remove or stop using Program Materials (such as prompts, templates, or workflow definitions) that you already incorporated into a product, codebase, or business you built during the program; that continued use remains licensed. If we make any Program Materials available for use after the program under a Creative Commons or similar open license, that separate license will govern your use of those specific materials.
You may not resell, republish, or reproduce the Program Materials themselves (for example, our curriculum documents, workflow definitions, or prompt libraries) as part of a training program or curriculum you offer to others. This does not restrict you from teaching, coaching, or building a training business of your own; it only means you can't reuse our specific materials to do it.
You retain ownership of the project work, code, and ideas you create. Confidentiality is not guaranteed in group settings: mentors and peers are not under NDA, so please do not share information you consider confidential or proprietary IP during the program.
Platform integrity
Except as permitted by applicable law, you agree not to reverse engineer or decompile the Sherpa B platform's software, use automated tools to scrape non-public data from it, or misuse account credentials to access data or systems that aren't yours. We may monitor for and restrict automated or abusive access to protect the platform and other users.
Termination
We may suspend or terminate access to Sherpa B for violation of these Terms. You may stop using the service at any time; contact us to request account deletion. Sections that by their nature should survive termination, including Content and intellectual property, Platform integrity, Disclaimers and liability, Indemnification, and Governing law and disputes, continue to apply after your access ends.
Disclaimers and liability
Sherpa B is provided "as is" without warranties of any kind. To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the service, and our total liability will not exceed the amount you paid us in the twelve months before the claim arose. Nothing in this section limits any warranty or right that cannot be excluded or limited under Ontario's Consumer Protection Act, 2002, or other applicable law.
Indemnification
You agree to indemnify us against claims arising from your violation of these Terms or misuse of the platform.
Governing law and disputes
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of Sherpa B will be resolved in the courts located in Ottawa, Ontario.
General
You may not assign these Terms or your account without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. We are not liable for delays or failures caused by events beyond our reasonable control. These Terms are the entire agreement between you and us regarding Sherpa B.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you (for example, by email or an in-product notice) before they take effect. Continued use of Sherpa B after changes take effect constitutes acceptance of the updated Terms.
